- Board resolution for issue of shares on differential basis (in addition comply with section 42 or 62 for issue of shares on rights basis/private placement/preferential allotment)
- e-Form MGT-14 (web-based form) for filing of Board Resolution with Registrar (exempted for Private Companies)
Notice & explanatory statement with specified disclosure as per Rule 4(2)
- e-Form MGT-14 (web-based form) within 30 days of passing of resolution for filing resolution with Registrar alongwith
(a) Special resolution alongwith explanatory statement
(b) consent to shorter notice (if applicable)

- Ordinary resolution for approval for Issue of equity shares with differential rights
- For listed companies- resolution by postal ballot
- Compliance with conditions as mentioned under Rule 4
- Disclosure in Board’s report as per Rule 4(4)
- For allotment please refer procedure u/s 42 or 62 as the case may be
- Issue of share certificates as per section 46 & 56
- Make entries in the Register of Members
- Every unlisted public Company and every private company(other than a small company) shall issue its securities in dematerialized form. (For compliances of dematerialisation please refer Quick reference u/s 42)
- Stamp duty adjudication
- In case of allotment in demat Form-Filing of Corporate Action form within 30 days of allotment
- In case of allotment of securities to a foreign resident Form FC-GPR in Single Master Form shall be filed within 30 days of the allotment.
- In case the subscriber of the securities is a Foreign-owned and/or controlled company (FOCC i.e. an Indian Entity which has received foreign investment and is not owned and controlled by resident Indian citizens or owned or controlled by persons resident outside India) such FOCC shall also comply with the reporting requirements for Downstream Investment in accordance with Foreign Exchange Management (Non-Debt Instruments) Rules, 2019.
